XOO ERP ("the Service") is a cloud-based construction enterprise resource planning platform provided by XOO ERP ("we", "us", "our"). The Service includes project management, human resources, finance, procurement, and related business management tools accessible via web browser.
You must provide accurate, complete registration information. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to use the Service. Each account is for a single organization; sharing credentials across organizations is prohibited.
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to other accounts or systems; (c) upload malicious code, viruses, or harmful content; (d) interfere with or disrupt the Service infrastructure; (e) use automated tools to scrape or collect data from the Service without authorization; (f) resell or redistribute the Service without written consent.
Paid plans are billed in Kuwaiti Dinars (KWD) on a monthly or annual basis as selected. Payments are non-refundable except where required by applicable law. We reserve the right to change pricing with 30 days' written notice. Failure to pay may result in account suspension after a 7-day grace period.
We may offer a free trial period. At the end of the trial, your account will be restricted unless you subscribe to a paid plan. Your data will be preserved for 30 days after trial expiration, after which it may be permanently deleted.
You retain full ownership of all data you upload or create within the Service ("Your Data"). We do not claim any intellectual property rights over Your Data. You grant us a limited license to process, store, and transmit Your Data solely for the purpose of providing the Service.
We implement industry-standard security measures including: encrypted connections (TLS/SSL), database-level tenant isolation, secure password hashing (bcrypt), two-factor authentication, regular backups, and access controls. However, no system is perfectly secure, and we cannot guarantee absolute security.
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime caused by circumstances beyond our reasonable control, including but not limited to natural disasters, internet outages, or third-party service failures.
You may cancel your account at any time by contacting us. Upon cancellation: (a) your access will continue until the end of the current billing period; (b) your data will be available for export for 30 days; (c) after 30 days, your data may be permanently deleted. We may suspend or terminate accounts that violate these terms with or without notice.
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these terms; (c) your violation of any third-party rights.
We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
These terms shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising from these terms or the Service shall be subject to the exclusive jurisdiction of the courts of Kuwait City, Kuwait.
